PRESTO HOME SERVICES HOMEOWNER TERMS OF SERVICE Draft for Attorney Review — Beta Testing Version

Effective Date: 10-15-2026 Last Updated: 10-15-2026 Operating Company: Zonalytic, LLC Platform: Presto Home Services Website: https://zonalytic.us Governing Law: State of Arizona, subject to attorney review

IMPORTANT NOTICE

These Homeowner Terms of Service ("Terms") govern your access to and use of Presto Home Services ("Presto," the "Platform," or the "Services").

Presto is designed to help homeowners discover, evaluate, and connect with home service contractors. Depending on the features available, the Platform may provide contractor profiles, business and credential information, verification indicators, ratings, reviews, AI-assisted evaluations, report cards, and tools for contacting contractors.

Presto is not a substitute for independently evaluating a contractor, reviewing a proposed contract, confirming licensing and insurance, or exercising reasonable care when hiring someone to perform work on your property.

Presto does not guarantee a contractor's qualifications, honesty, workmanship, reliability, financial stability, safety, or future performance.

By creating an account and affirmatively accepting these Terms through the Platform, you acknowledge that you have read and agree to them. If you do not agree, you may not create an account or use features that require acceptance of these Terms.

1. DEFINITIONS

1.1. Presto Home Services: The website, software, tools, features, and services provided under the Presto Home Services name.

1.2. Company: The legal entity identified in the final version of these Terms as the owner or operator of Presto Home Services.

1.3. Homeowner or User: An individual accessing or using Presto to search for, evaluate, contact, or engage home service providers.

1.4. Contractor: An individual or business that advertises, offers, or provides home improvement, construction, repair, maintenance, or other home-related services through or in connection with Presto.

1.5. Verification: A process through which specified contractor information may be reviewed or compared against available records, documents, databases, or other sources.

1.6. AI-Assisted Evaluation: An automated or artificial intelligence-supported process used to organize, summarize, compare, flag, or evaluate contractor information.

1.7. Contractor Report Card: A profile, score, summary, rating, classification, or other presentation of contractor information that may be displayed by Presto.

1.8. User Content: Information, photographs, reviews, ratings, comments, complaints, or other materials submitted by users to the Platform.

1.9. Beta Services: Pre-release, pilot, testing, or limited-access features that may be incomplete or subject to change.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to create a homeowner account unless the Company expressly permits otherwise in compliance with applicable law.

You may use Presto only for lawful, legitimate purposes.

2.2. Accurate Information

You agree to provide accurate and current information when creating an account, submitting a service request, contacting a contractor, or using other Platform features.

You must not impersonate another person, misrepresent your identity, or create an account using information you are not authorized to use.

2.3. Account Security

You are responsible for maintaining the security of your login credentials and for promptly reporting suspected unauthorized access to your account.

You must not sell, transfer, or share your account with unauthorized individuals.

2.4. Multiple Accounts and Abuse

You may not create or use multiple accounts to manipulate reviews, ratings, contractor report cards, complaints, search results, or other Platform functions.

The Company may investigate suspected account abuse and take appropriate action in accordance with these Terms and applicable law.

3. HOW PRESTO HOME SERVICES WORKS

3.1. Contractor Discovery

Presto may provide tools that help homeowners search for, compare, research, and contact contractors.

Available features may include contractor profiles, service categories, geographic service areas, business information, verification indicators, ratings, reviews, report cards, and AI-assisted evaluations.

The features available may change as the Platform develops.

3.2. Independent Contractors and Businesses

Contractors using Presto generally operate as independent businesses and are not employees, agents, partners, or representatives of the Company.

Unless expressly stated in a separate written agreement, the Company does not perform the home services offered by contractors.

3.3. No Agency or Employment Relationship

Your use of Presto does not create an employment, agency, partnership, or joint venture relationship between you and the Company or between the Company and a contractor.

A contractor's participation in Presto does not authorize that contractor to act on behalf of the Company.

3.4. No Guarantee of Contractor Availability

Presto does not guarantee that a contractor will be available, respond to an inquiry, accept a project, provide an estimate, or complete work within a particular timeframe.

The Platform may not list every contractor available in your area.

4. CONTRACTOR VERIFICATION AND REPORT CARDS

4.1. Purpose of Verification

Presto may conduct or facilitate limited checks of contractor information, including business identity, licensing records, insurance documentation, business registration, public records, and other available information.

The particular checks performed may vary by contractor, service category, jurisdiction, information source, and Platform feature.

4.2. Verification Is Limited

A verification indicator reflects only the specific information or credentials checked, using the sources and procedures applicable at the time of review.

Verification does not establish that a contractor is honest, financially stable, competent, insured for every project, or capable of completing work satisfactorily.

Verification does not guarantee that information remains accurate after the check has been performed.

4.3. Contractor Report Cards

Presto may present contractor information through a report card, rating, score, classification, summary, or other evaluation.

These presentations are intended to help homeowners assess available information. They should not be treated as a definitive determination of a contractor's overall quality, trustworthiness, or suitability for a particular project.

A rating or score may reflect only selected factors and may not capture all relevant information.

4.4. AI-Assisted Information

Presto may use AI-assisted tools to organize information, identify potential inconsistencies, summarize records, or support contractor evaluations.

AI-assisted outputs may contain errors, omissions, outdated information, or inaccurate conclusions. Information obtained from third parties may also be incomplete or incorrect.

Homeowners should independently confirm material information before making hiring decisions.

4.5. Independent Verification

Before hiring a contractor, you should consider:

  • Confirming the contractor's current license and appropriate classification with the relevant licensing authority.
  • Confirming whether the contractor has insurance appropriate for the proposed work.
  • Reviewing the written estimate and service agreement.
  • Asking for relevant references and examples of prior work.
  • Confirming permit requirements and who is responsible for obtaining permits.
  • Reviewing applicable warranties, payment terms, and cancellation rights.
  • Obtaining additional estimates when appropriate.

4.6. Reporting Inaccurate Information

If you believe a contractor profile, credential, review, or report card contains inaccurate or misleading information, you may submit a report through the Company's designated reporting process.

The Company may review the information, request supporting documentation, correct factual errors, add appropriate context, restrict content, or take other reasonable action consistent with applicable law.

Submitting a report does not guarantee that the disputed information will be removed or that a contractor will be suspended.

5. CONTRACTOR SELECTION AND HIRING

5.1. Your Hiring Decision

You are solely responsible for deciding whether to contact, evaluate, select, or hire a contractor.

Your decision should be based on your own assessment of the contractor's qualifications, experience, references, proposed price, contractual terms, and suitability for your project.

You should not rely exclusively on a Presto verification indicator, report card, rating, AI-generated summary, or other Platform information when making a hiring decision.

5.2. Written Agreements

Before work begins, you are encouraged to obtain a written agreement that clearly identifies:

  • The contractor and homeowner.
  • The scope of work and materials to be supplied.
  • The total price or method of calculating charges.
  • The payment schedule and deposit requirements.
  • The estimated start date and completion timeframe.
  • Responsibility for permits and inspections.
  • Applicable warranties and exclusions.
  • Procedures for change orders and additional work.
  • Cancellation rights and dispute-resolution procedures.

You and the contractor are responsible for ensuring that your agreement complies with applicable law.

5.3. Contractor Credentials and Insurance

You are responsible for confirming any credentials, licenses, insurance coverage, or qualifications that are material to your project.

A contractor's appearance on Presto does not establish that all necessary licenses, permits, or insurance coverage are in place for every job.

5.4. No Guarantee of Workmanship

The Company does not guarantee the quality, safety, legality, durability, or timeliness of work performed by contractors.

Any warranty or guarantee offered for a home service is provided by the contractor or another expressly identified party, unless the Company separately agrees in writing to provide such coverage.

5.5. Emergencies

Presto is not an emergency response service.

Do not rely on the Platform as a substitute for contacting emergency services, utility providers, or appropriately qualified professionals when there is an immediate threat to life, property, or safety.

6. ESTIMATES, CONTRACTS, AND PAYMENTS

6.1. Estimates and Pricing

Contractors are responsible for the estimates, quotations, prices, fees, and other commercial terms they provide.

Unless a specific feature expressly states otherwise, prices and estimates displayed or communicated through Presto are provided by the contractor and are not independently guaranteed by the Company.

You should confirm the final scope, pricing, taxes, additional charges, and payment requirements directly with the contractor before authorizing work.

6.2. Payment Arrangements

Unless Presto expressly offers a payment service under separate terms, payments for home services are arranged directly between the homeowner and the contractor.

The Company does not act as a bank, escrow agent, insurer, or guarantor of contractor payments merely because a contractor is listed on Presto.

6.3. Payment Disputes

Disputes involving deposits, invoices, refunds, workmanship, incomplete projects, additional charges, or payment obligations generally arise between the homeowner and the contractor.

The Company may provide reporting or communication tools, but it does not guarantee resolution of disputes or recovery of funds.

Nothing in this section eliminates any rights or remedies available to you under applicable law.

6.4. Platform Fees

If the Company introduces paid homeowner features, subscriptions, booking charges, or other fees, the applicable price, billing terms, cancellation conditions, and other material terms will be disclosed before you are asked to accept the charge.

No payment obligation is created solely by this section.

7. HOMEOWNER CONDUCT AND PROHIBITED ACTIVITIES

You agree to use Presto honestly, respectfully, and lawfully.

You may not:

7.1. Submit False Information

Provide knowingly false, fabricated, misleading, or fraudulent information about yourself, a contractor, a project, or an interaction.

7.2. Manipulate Reviews and Ratings

Create fake reviews, submit multiple deceptive ratings, coordinate false complaints, or otherwise attempt to manipulate contractor ratings, report cards, or Platform evaluations.

7.3. Harass or Threaten Contractors

Threaten, stalk, intimidate, blackmail, or unlawfully harass contractors, other homeowners, Company personnel, or other Platform users.

7.4. Misuse Reporting Tools

Submit knowingly false allegations or use reporting features to retaliate against a contractor, damage a competitor, or improperly influence a verification decision.

Good-faith complaints and factual criticism are permitted.

7.5. Misuse Platform Technology

Attempt unauthorized access to accounts, interfere with Platform security, distribute malicious code, bypass access controls, or exploit technical vulnerabilities without authorization.

7.6. Scrape or Harvest Information

Use automated tools or other unauthorized methods to systematically collect contractor or homeowner information, extract restricted data, or interfere with normal Platform operation.

7.7. Engage in Unlawful Conduct

Use Presto to facilitate fraud, impersonation, unlawful discrimination, threats, illegal activity, or other conduct prohibited by applicable law.

8. REVIEWS, RATINGS, AND USER CONTENT

8.1. Honest and Relevant Feedback

Where Presto permits reviews, ratings, photographs, or comments, you agree to submit information that reflects your genuine experience or otherwise has a legitimate factual basis.

You must not fabricate a customer relationship, falsely claim to have received services, or knowingly misrepresent a contractor's conduct.

8.2. Prohibited Review Content

Reviews and other user content must not contain:

  • Knowingly false factual allegations.
  • Threats, extortion, or harassment.
  • Private information disclosed without authorization.
  • Impersonation or fabricated identities.
  • Copyrighted material used without permission.
  • Malicious links, spam, or deceptive promotional material.
  • Other content prohibited by applicable law.

Nothing in these Terms is intended to prohibit lawful consumer reviews, truthful statements, good-faith complaints, or other legally protected speech.

8.3. Review Moderation

The Company may review, moderate, restrict, or remove content that violates these Terms or applicable law.

Where appropriate, the Company may request supporting information or provide an opportunity to correct content.

The Company does not guarantee that every review is accurate, that every fraudulent review will be detected, or that every legitimate review will remain publicly available in all circumstances.

8.4. License to User Content

You retain ownership of content you lawfully own and submit to Presto.

By submitting content, you grant the Company a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, display, and distribute that content as reasonably necessary to operate, maintain, moderate, and provide the Platform.

This license is subject to applicable law, the Company's Privacy Policy, and any additional permissions required for uses beyond ordinary Platform operation.

You represent that you have the rights necessary to submit the content and authorize these uses.

8.5. Content Removal Requests

You may report content you believe violates these Terms, infringes your rights, or contains inaccurate personal information.

The Company may investigate and take appropriate action, but removal is not guaranteed and will be subject to applicable law and relevant content policies.

9. PRIVACY AND PERSONAL INFORMATION

9.1. Privacy Policy

Your use of Presto is also governed by the Company's Privacy Policy, which should describe how personal information is collected, used, stored, disclosed, and protected.

The Privacy Policy is incorporated into these Terms to the extent specified in the final published documents.

9.2. Information You Provide

Depending on the features used, the Company may process information such as your name, email address, telephone number, account details, service requests, geographic information, communications, reviews, and other information you voluntarily submit.

The specific information collected and its uses must be described in the Privacy Policy.

9.3. Sharing with Contractors

If you submit a service request or contact a contractor, information necessary to respond to your request may be shared with that contractor.

You should avoid including sensitive personal information that is not necessary for the requested service.

9.4. Data Security

The Company will describe its applicable security practices and limitations in its Privacy Policy and other relevant disclosures.

No internet transmission or storage system can be guaranteed to be completely secure.

You agree to notify the Company if you become aware of suspected unauthorized access to your account or personal information through the Platform.

9.5. Retention and Deletion

The Company may retain certain records as reasonably necessary to operate the Platform, maintain security, prevent fraud, resolve disputes, comply with legal obligations, and enforce these Terms.

Requests to access, correct, or delete personal information will be handled in accordance with applicable law and the Company's Privacy Policy.

10. THIRD-PARTY SERVICES AND INFORMATION

10.1. Third-Party Sources

Presto may display or rely on information from licensing authorities, public records, business databases, review sources, data providers, and other third parties.

The Company does not control all third-party information and cannot guarantee that every source is accurate, current, complete, or available.

10.2. External Links

The Platform may link to third-party websites or services.

The Company is not responsible for the content, policies, security, or availability of external websites that it does not operate.

Accessing third-party services is at your discretion and may be subject to separate terms and privacy policies.

10.3. No Automatic Endorsement

The display of a contractor, third-party record, external link, rating, or service on Presto does not automatically constitute an endorsement or guarantee by the Company.

11. BETA TESTING AND PRE-RELEASE FEATURES

11.1. Beta Participation

Presto may offer selected homeowners access to Beta Services while the Company evaluates and improves the Platform.

Beta Services may contain bugs, incomplete information, inaccurate results, limited functionality, or temporary interruptions.

11.2. No Reliance on Beta Results Alone

You acknowledge that beta verification indicators, report cards, search results, and AI-assisted evaluations may be subject to changes and limitations.

You should not rely solely on Beta Services when making significant financial, contractual, property, or safety decisions.

11.3. Reporting Problems

You are encouraged to report material errors, suspected fraudulent contractor activity, security issues, or other problems through the Company's designated support or reporting channels.

11.4. Changes to Beta Features

The Company may modify, restrict, suspend, or discontinue Beta Services as testing progresses, subject to applicable law and any separate binding commitments.

11.5. No Guaranteed Availability

The Company does not guarantee uninterrupted access to beta features or the preservation of every beta record, except as required by applicable law or a separate agreement.

12. COMPLAINTS AND DISPUTES

12.1. Contractor Complaints

If you have a concern about a contractor, you are encouraged to communicate the issue directly to the contractor when appropriate and safe to do so.

You may also submit a complaint through Presto's designated reporting process.

12.2. Platform Complaints

You may contact the Company regarding suspected fraudulent accounts, misleading verification indicators, technical issues, privacy concerns, or violations of these Terms.

The Company may review complaints and take reasonable action but does not guarantee a particular investigation outcome.

12.3. Disputes Between Homeowners and Contractors

Unless the Company expressly agrees otherwise in a separate written agreement, Presto is not a party to the contract between a homeowner and a contractor.

The homeowner and contractor remain responsible for resolving disputes about pricing, project scope, payment, workmanship, scheduling, warranties, damage, and contractual obligations.

The Company may provide information or reporting tools, but it is not obligated to act as a mediator, arbitrator, insurer, or guarantor.

12.4. Legal Rights Preserved

Nothing in these Terms is intended to waive consumer rights, statutory protections, or legal remedies that cannot lawfully be waived.

13. DISCLAIMERS OF WARRANTIES

To the maximum extent permitted by applicable law, Presto and the Services are provided on an "as is" and "as available" basis.

The Company disclaims warranties to the extent legally permitted, including implied warranties of merchantability, fitness for a particular purpose, and noninfringement.

The Company does not warrant that:

  • The Platform will operate continuously or without errors.
  • Contractor information will always be accurate, complete, or current.
  • Verification indicators establish every aspect of a contractor's qualifications.
  • AI-assisted evaluations or report cards will be accurate or free from bias or error.
  • Contractors will be available, responsive, honest, qualified, or reliable.
  • A contractor will complete a project successfully or on time.
  • A particular contractor will provide satisfactory work or honor a warranty.
  • The use of Presto will prevent fraud, property damage, financial loss, or disputes.

Nothing in this section excludes a warranty, statutory right, or remedy that cannot legally be excluded.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the Company and its owners, officers, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost opportunities, loss of goodwill, or loss of data arising from or related to the Platform or these Terms.

To the maximum extent permitted by applicable law, the Company's aggregate liability arising from or relating to the Platform or these Terms will not exceed the greater of (a) the amount you paid directly to the Company for Platform services during the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

If you have not paid the Company any fees, the proposed cap would be $100, subject to applicable law and attorney review.

These limitations do not apply to the extent prohibited by law or to liabilities that cannot legally be limited. They do not purport to disclaim liability for fraud, willful misconduct, or other conduct where such a disclaimer would be unenforceable.

Attorney review required: Counsel should determine whether this proposed limitation is appropriate for a consumer-facing platform, including its treatment of personal injury, property damage, privacy incidents, statutory claims, and other nonwaivable liabilities.

15. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless the Company and its owners, officers, employees, affiliates, and service providers from third-party claims, liabilities, damages, judgments, and reasonable legal expenses arising from:

  • Your violation of these Terms.
  • Your fraudulent or unlawful use of the Platform.
  • Your infringement or misappropriation of another person's intellectual property or other rights.
  • Your unauthorized submission or disclosure of personal information or other protected material.
  • Your unlawful conduct toward another user or third party.

This provision does not require you to indemnify the Company for its own negligence, willful misconduct, or other liability to the extent such indemnification is prohibited by law.

The Company will provide reasonable notice of an indemnifiable claim, subject to applicable law, and may require reasonable cooperation in its defense.

16. SUSPENSION AND TERMINATION

16.1. Your Right to Stop Using Presto

You may stop using Presto at any time and may request account closure through the available account settings or support channels.

Closing your account does not automatically delete all records associated with it. Record retention will be governed by the Privacy Policy and applicable law.

16.2. Company Enforcement Rights

Where permitted by law, the Company may restrict, suspend, or terminate access to an account or feature if it reasonably believes that a user:

  • Violated these Terms or applicable law.
  • Submitted fraudulent information or manipulated reviews.
  • Harassed or threatened another user.
  • Attempted unauthorized access or interfered with Platform security.
  • Abused reporting tools or engaged in other conduct that threatens Platform integrity.
  • Created a material safety, fraud, or security risk.

16.3. Immediate Protective Measures

The Company may take immediate action when reasonably necessary to protect users, investigate suspected fraud, respond to a security incident, or prevent imminent harm.

Where appropriate and legally permissible, the Company may provide notice and an opportunity to appeal.

16.4. Effect of Termination

Following termination, access to your account or certain Platform features may be removed.

Provisions concerning intellectual property licenses, outstanding obligations, privacy, liability, dispute resolution, and other matters intended by their nature to survive will continue to apply to the extent legally enforceable.

17. DISPUTE RESOLUTION AND GOVERNING LAW

17.1. Informal Resolution

Before initiating formal proceedings, the parties are encouraged to attempt to resolve disputes through written notice and good-faith discussions, unless urgent relief, a statutory deadline, or other circumstances require a different approach.

17.2. Governing Law

Subject to applicable conflict-of-law rules and nonwaivable consumer protections, these Terms will be governed by the laws of the State of Arizona.

17.3. Venue

Any court proceeding permitted under these Terms will be brought in a court of competent jurisdiction in Arizona, unless applicable law requires a different venue.

17.4. Arbitration and Class Actions

These Terms do not create a binding arbitration requirement, class-action waiver, or waiver of a jury trial.

If the Company wishes to include any such provisions, they must be separately drafted and reviewed by counsel for enforceability, required disclosures, opt-out rights, and compliance with applicable law.

18. CHANGES TO THESE TERMS

The Company may update these Terms to reflect changes to the Platform, legal requirements, security practices, or business operations.

For material changes, the Company will provide appropriate notice and obtain renewed acceptance where required by law or the nature of the change.

The revised Terms will identify their effective date. Continued use after an effective date may constitute acceptance only where permitted by applicable law and supported by adequate notice and any required consent.

19. GENERAL PROVISIONS

19.1. Entire Agreement

These Terms, together with the applicable Privacy Policy and any additional agreements expressly incorporated into them, govern your use of Presto, subject to any separate written agreement that expressly overrides a particular provision.

19.2. Severability

If a provision is found unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in effect to the extent permitted by law.

19.3. No Waiver

A failure to enforce a provision does not constitute a waiver of the right to enforce it later.

19.4. Assignment

You may not assign or transfer your account or rights under these Terms without the Company's consent, except where applicable law provides otherwise.

The Company may assign these Terms in connection with a merger, acquisition, reorganization, or transfer of the relevant business, subject to applicable law.

19.5. Electronic Acceptance

To the extent permitted by law, these Terms may be accepted electronically.

When you create an account and affirmatively select an "I Agree" checkbox or acceptance button that clearly identifies these Terms, your acceptance will be recorded electronically.

The Company may maintain records of the accepted terms version, acceptance timestamp, account identifier, and related technical records for purposes of documenting consent, maintaining security, and resolving disputes.

You do not need to print, sign, or submit a physical copy of these Terms.

19.6. Notices

The Company may provide notices through the Platform, by email, or through another reasonable method, subject to applicable law and any specific notice requirements.

19.7. Survival

Provisions that by their nature should survive account closure, including intellectual property licenses, applicable data-retention provisions, indemnification, limitations of liability, and dispute-resolution provisions, will continue to apply to the extent legally enforceable.
